Welcome to Tookbuy. These Terms & Conditions (“Terms”) govern your access to and use of the Tookbuy website, application, marketplace, software, and related services (collectively, the “Platform”).

By accessing, registering on, or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

1. Definitions

For purposes of these Terms:

• “Tookbuy,” “we,” “us,” or “our” refers to the owner and operator of the Tookbuy Platform.
• “Platform” means the Tookbuy website, application, marketplace, software, and related services.
• “User,” “you,” or “your” means any person accessing or using the Platform.
• “Customer” means a User who purchases products or services through the Platform.
• “Seller,” “Vendor,” or “Merchant” means an individual or business that registers to sell products through the Platform.
• “Product” means any goods or services listed for sale through the Platform.
• “Order” means a purchase request submitted by a Customer through the Platform.
• “Content” means text, images, videos, product information, reviews, logos, trademarks, and other materials submitted or displayed on the Platform.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Platform.

By using the Platform, you confirm that:

• You are at least the minimum legal age required in your jurisdiction.
• The information you provide is accurate and complete.
• You have authority to enter into these Terms if you are acting on behalf of a business or organization.
• You will comply with all applicable laws and regulations.

We may restrict or terminate accounts that do not meet these requirements.

3. Account Registration

Certain Platform features may require you to create an account.

You are responsible for:

• Providing accurate and current registration information.
• Keeping your login credentials confidential.
• Maintaining the security of your account.
• All activity conducted through your account.
• Notifying us promptly if you believe your account has been compromised.

You must not create an account using another person's identity or provide false, misleading, or fraudulent information.

We reserve the right to suspend or terminate accounts that contain inaccurate information or are involved in fraudulent, abusive, or unlawful activity.

4. Marketplace Services

Tookbuy may provide a marketplace that allows independent Sellers to offer Products to Customers.

Unless expressly stated otherwise:

• Sellers are independent third parties.
• Sellers are responsible for the accuracy, legality, quality, safety, availability, and delivery of their Products.
• A contract for the purchase of a Product may be formed between the Customer and the Seller.
• Tookbuy may facilitate transactions, payments, communications, order management, and other marketplace functions.
• Tookbuy does not necessarily manufacture, own, or directly sell Products listed by third-party Sellers.

We may provide tools and services to facilitate transactions but do not guarantee that every Seller or Product will meet a Customer's expectations.

5. Seller Responsibilities

Sellers using the Platform agree to:

• Provide truthful and complete business and product information.
• Maintain accurate prices, inventory, specifications, and availability.
• Upload only images and content they have the legal right to use.
• Comply with all applicable laws and regulations.
• Sell only lawful Products.
• Fulfill accepted Orders within the stated processing and shipping periods.
• Provide accurate shipping information and tracking details where applicable.
• Handle Customer inquiries and complaints relating to their Products.
• Honor applicable warranties, guarantees, returns, refunds, and consumer rights.
• Avoid misleading, deceptive, or fraudulent product descriptions.
• Maintain appropriate records relating to their transactions.

Sellers must not list counterfeit, stolen, prohibited, unsafe, illegal, or otherwise restricted Products.

Tookbuy may remove listings, suspend Sellers, hold funds, or take other appropriate action where violations are suspected.

6. Prohibited Products and Activities

Users and Sellers may not use the Platform to sell, promote, distribute, or facilitate Products or activities that are illegal or prohibited by Tookbuy.

Prohibited activities may include:

• Fraud or scams.
• Counterfeit or unauthorized products.
• Stolen goods.
• Illegal drugs or controlled substances.
• Weapons or other prohibited items.
• Products that infringe intellectual-property rights.
• Malware or harmful software.
• Pornographic or unlawful content.
• Products or services involving illegal activity.
• False, misleading, or deceptive advertisements.
• Pyramid schemes or fraudulent investment opportunities.
• Money laundering or other financial crimes.
• Any activity that violates applicable law.

Tookbuy may establish additional prohibited-product rules and update them from time to time.

7. Product Listings

Sellers are responsible for ensuring that all Product listings are accurate.

Listings should clearly disclose, where applicable:

• Product name and description.
• Price and currency.
• Available quantity.
• Product condition.
• Images.
• Specifications and variations.
• Shipping costs.
• Applicable taxes.
• Estimated delivery time.
• Return or refund conditions.

Tookbuy may edit, reject, restrict, or remove listings that violate these Terms, applicable law, or marketplace policies.

8. Prices and Payments

Product prices are determined by Sellers unless otherwise stated.

The final amount payable by a Customer may include:

• Product price.
• Shipping or delivery charges.
• Applicable taxes.
• Platform or service fees, where applicable.
• Other charges disclosed during checkout.

Payments may be processed through third-party payment providers. By submitting payment information, you authorize the applicable payment provider to process the transaction.

Tookbuy does not guarantee uninterrupted availability of any payment method.

If a payment is declined, reversed, charged back, or otherwise disputed, we may take reasonable action, including cancelling the Order, restricting the account, or recovering amounts owed.

9. Orders

Submitting an Order constitutes an offer to purchase the selected Product(s).

An Order may be subject to Seller acceptance, payment authorization, inventory availability, fraud screening, and other conditions.

We reserve the right to cancel or reject an Order where:

• The Product is unavailable.
• The listed price contains an obvious error.
• Payment cannot be verified.
• Fraudulent or suspicious activity is detected.
• The Seller cannot fulfill the Order.
• The Order violates these Terms or applicable law.

If an Order is cancelled after payment has been successfully collected, the applicable amount may be refunded in accordance with our refund procedures.

10. Shipping and Delivery

Sellers are responsible for fulfilling and shipping their Orders unless Tookbuy expressly provides fulfillment services.

Delivery estimates are provided for convenience and are not guaranteed unless expressly stated otherwise.

Delivery may be affected by:

• Shipping carrier delays.
• Customs procedures.
• Weather or natural events.
• Public holidays.
• Incorrect delivery information.
• Events outside the reasonable control of the Seller or Tookbuy.

Customers are responsible for providing accurate delivery information.

11. Returns, Refunds, and Cancellations

Returns, refunds, exchanges, and cancellations are subject to the applicable Seller's policy and applicable consumer-protection laws.

Where required by law, Customers may have statutory rights that cannot be excluded by these Terms.

A Seller may establish reasonable conditions for returns, provided those conditions comply with applicable law.

Refunds may be issued to the original payment method or through another method permitted by the Platform.

Tookbuy may assist with disputes between Customers and Sellers but does not guarantee a particular outcome unless required by applicable law or expressly agreed otherwise.

12. Customer Reviews and Ratings

Customers may be permitted to submit reviews, ratings, photographs, and other feedback.

Reviews must:

• Be based on genuine experiences.
• Be accurate and relevant.
• Not contain unlawful, defamatory, threatening, abusive, or discriminatory content.
• Not contain malicious software or harmful code.
• Not be submitted in exchange for prohibited incentives.
• Not impersonate another person.

Tookbuy may remove reviews that violate these Terms or applicable law.

By submitting a review or other public content, you grant Tookbuy a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute that content for Platform-related purposes.

13. User Content

You retain ownership of Content you submit to the Platform, subject to the rights granted in these Terms.

By submitting Content, you grant Tookbuy a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, display, modify, adapt, distribute, and otherwise use that Content as reasonably necessary to operate, promote, improve, and provide the Platform.

You represent that:

• You own or have the necessary rights to the Content.
• Your Content does not infringe third-party rights.
• Your Content does not violate applicable law.
• Your Content does not contain malicious code or harmful material.

14. Intellectual Property

The Platform and its original content, features, functionality, software, design, graphics, logos, trademarks, and branding are owned by Tookbuy or its licensors and are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms, you may not:

• Copy or reproduce the Platform.
• Modify or create derivative works.
• Reverse engineer or attempt to extract source code.
• Sell, sublicense, lease, or redistribute the Platform.
• Remove proprietary notices.
• Use Tookbuy's trademarks without written permission.
• Scrape or systematically collect Platform data without authorization.

Nothing in these Terms transfers ownership of Tookbuy's intellectual property to you.

15. Third-Party Services

The Platform may integrate with third-party services, including:

• Payment gateways.
• Shipping providers.
• Analytics services.
• Cloud-hosting providers.
• Authentication providers.
• Marketing services.
• Communication services.

Third-party services may have their own terms and privacy policies. Tookbuy is not responsible for the independent acts, omissions, availability, or policies of third-party service providers.

16. Taxes

Sellers are responsible for determining and fulfilling their tax obligations arising from their use of the Platform, including applicable sales, VAT, GST, customs, income, or other taxes.

Tookbuy may collect, calculate, report, or remit taxes where required by applicable law or where the Platform is configured to provide such services.

Users should obtain independent tax advice where appropriate.

17. Seller Fees and Commissions

Tookbuy may charge Sellers fees for using marketplace services.

Fees may include:

• Listing fees.
• Transaction fees.
• Commission fees.
• Subscription fees.
• Payment-processing fees.
• Advertising or promotional fees.
• Withdrawal or payout fees.
• Other service fees disclosed by Tookbuy.

Applicable fees will be disclosed before or during the relevant transaction or subscription.

Tookbuy may change its fees by providing reasonable notice where required by law.

18. Seller Payouts

Where Tookbuy facilitates Seller payouts, funds may be subject to applicable processing periods, verification procedures, refunds, chargebacks, disputes, reserves, or legal requirements.

Tookbuy may delay, suspend, or withhold payouts where reasonably necessary to:

• Investigate suspected fraud.
• Resolve disputes.
• Cover chargebacks or refunds.
• Comply with legal obligations.
• Verify Seller information.
• Protect Customers, Sellers, or the Platform.

19. Privacy

Your use of the Platform is also subject to our Privacy Policy.

We may collect and process information necessary to provide Platform services, including account information, transaction information, communications, technical information, and other information described in our Privacy Policy.

You should review the Privacy Policy before using the Platform.

20. Security

We take reasonable measures to protect the Platform and information processed through it. However, no online service can be guaranteed to be completely secure.

You agree not to:

• Attempt unauthorized access.
• Circumvent security controls.
• Introduce malicious code.
• Interfere with Platform infrastructure.
• Conduct denial-of-service attacks.
• Access accounts or information without authorization.

21. Platform Availability

We aim to keep the Platform available and operational but do not guarantee that it will always be:

• Available.
• Uninterrupted.
• Error-free.
• Secure.
• Free from viruses or other harmful components.

We may temporarily suspend or modify the Platform for maintenance, upgrades, security, technical issues, or other operational reasons.

22. Disclaimers

To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis.

Tookbuy does not guarantee:

• The accuracy or completeness of Seller information.
• The quality, safety, legality, or authenticity of Products.
• That Products will meet Customer expectations.
• That Sellers will fulfill Orders.
• That the Platform will operate without interruption.
• That defects will always be corrected.
• That the Platform will be free from harmful components.

Nothing in these Terms excludes or limits any consumer rights or other rights that cannot legally be excluded.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Tookbuy and its officers, directors, employees, affiliates, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:

• Use of or inability to use the Platform.
• Products purchased through the marketplace.
• Seller conduct.
• Delivery delays.
• Third-party services.
• Loss of data, profits, revenue, or business opportunities.
• Unauthorized access resulting from circumstances outside our reasonable control.

To the maximum extent permitted by law, Tookbuy's total liability arising from your use of the Platform will be limited to the amount you paid to Tookbuy for the relevant service during the applicable period, or another limitation required by applicable law.

24. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Tookbuy and its affiliates, officers, directors, employees, agents, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

• Your violation of these Terms.
• Your misuse of the Platform.
• Your violation of applicable law.
• Your infringement of third-party rights.
• Content you submit to the Platform.
• Products you sell through the Platform.
• Your fraudulent, negligent, or unlawful conduct.

25. Account Suspension and Termination

We may suspend, restrict, or terminate your account or access to the Platform if:

• You violate these Terms.
• You engage in fraudulent or abusive activity.
• You violate applicable law.
• Your account creates a security risk.
• You fail to pay amounts owed.
• You provide false information.
• Your activities harm other Users or the Platform.

You may stop using the Platform at any time.

Termination does not affect rights or obligations that arose before termination or provisions that are intended to survive termination.

26. Disputes Between Customers and Sellers

Customers and Sellers are encouraged to resolve transaction-related issues directly and in good faith.

Tookbuy may provide a dispute-resolution system or customer-support process at its discretion.

Tookbuy may review relevant information and take actions permitted under its marketplace policies, including refunds, order cancellations, account restrictions, or listing removal.

Unless required by applicable law, Tookbuy does not act as a guarantor of either party's performance.

27. Fraud and Abuse

We may monitor transactions and Platform activity for fraud, abuse, security threats, and policy violations.

We may take appropriate measures, including:

• Cancelling transactions.
• Restricting accounts.
• Blocking payments.
• Holding funds.
• Removing listings.
• Reporting suspected unlawful activity to appropriate authorities where legally permitted or required.

28. Changes to These Terms

We may update these Terms from time to time.

When changes are made, we may update the “Last Updated” date and provide additional notice where required by applicable law.

Your continued use of the Platform after the effective date of revised Terms constitutes acceptance of the updated Terms, to the extent permitted by law.

29. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of [Jurisdiction/Country], without regard to conflict-of-law principles.

31. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

32. Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

33. Entire Agreement

These Terms, together with any policies expressly incorporated into them, constitute the entire agreement between you and Tookbuy regarding your use of the Platform and supersede prior agreements concerning the same subject matter.

34. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

Tookbuy may transfer or assign its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, or other business transaction.
